Terms and Conditions

Acceptance: The contracting of Broadcast & Corporate Video Acquisition Inc. (hereby referred to as simply BCVA Inc., Dale Casper - President ) will signify that the client accepts the terms and conditions of doing business with BCVA Inc.

Payment Options:

  • C.O.D.: Cash or Check due On-Location at End of Shoot Day
    All recorded media will be held by BCVA Inc. (Dale Casper - President) until the end of the shoot. Recorded media will be released to client once payment is received.
     
  • Net 30: Subject to credit approval, all accounts are due and payable within thirty (30) days from invoice date.
     
  • Credit Card: Typically an estimate will be presented to client, client's credit card will be authorized (but not processed) based on estimated amount. Once shoot / project has been completed client will be presented final estimate and client's credit card will be processed for invoice amount.
     
  • Special Payment Options (such as wire transfer or PayPal) may be arranged on a case by case basis. Additional Fees may apply.

Applicable Law: The terms and conditions of this agreement shall be construed, enforced under, and in accordance with the laws of the State of Texas.

THIS DENTON COUNTY BUSINESS COOPERATES WITH THE DENTON COUNTY DISTRICT ATTORNEY'S OFFICE TO PREVENT BAD CHECK LOSSES. IT IS A FELONY IN THE STATE OF TEXAS TO WRITE A BAD CHECK FOR OVER $50. THE ISSUANCE OF A CHECK OR DRAFT WITHOUT SUFFICIENT MONEY OR WITH INTENT TO DEFRAUD IS PUNISHABLE BY IMPRISONMENT IN THE COUNTY JAIL FOR UP TO TWO YEARS, OR BY A FINE OF $1,000.00, OR BY BOTH FINE AND IMPRISONMENT.

TO VERIFY YOUR NAME, ADDRESS, DATE OF BIRTH, AND DESCRIPTION, YOU MUST SHOW PROPER IDENTIFICATION, NAMELY:

VALID DRIVER'S LICENSE WITH PICTURE; OR OFFICIAL ID

OTHER PROOF OF IDENTITY AS REQUESTED BY THIS BUSINESS.

THIS BUSINESS WILL NOT ACCEPT POST-DATED OR TWO-PARTY CHECKS.

Invoices are payable at 5612 Treese St. The Colony, Texas 75056 in Denton County. In addition to the original debt the Client shall be liable for all costs incurred in collecting overdue payments (including collection fees and or attorneys' fees.) Third Party collections are not the responsibility of BCVA Inc. Prompt payment is expected without regard to whether the ultimate client has settled their account.

Personal Guaranty: BCVA Inc. reserves the right to require, at any time, a continuing personal guaranty from the officers of incorporated entities when it deems necessary.

Rates:

Shoot rates are billed as a half day (up to 5 hours) or a full day (up to ten hours) and include a one hour break. Overtime is billed at Time and 1/2 past ten hours.

Editing rates are billed per hr. (half day - 5 hours minimum.)

Editing Process

If Client Provides Script:

  • BCVA Inc. will prepare an estimate for shooting and editing based on the script.
  • Once client has approved the estimate and emailed signed estimate back to BCVA Inc. a 1/3 deposit will be required to initiate project.
  • After the shoot BCVA Inc. will furnish client with a DVD or other media of the raw footage (Interviews and B-Roll) containing a series of reference numbers (Time Code Burn-In.)
  • Client will note time codes of various shots and sound bites corresponding with the script thereby creating a “paper edit”. Client then sends notes and paper edit to BCVA Inc.
  • BCVA Inc. will edit a first version (Rough Cut) for client approval containing the sound bites / shots client has selected.
  • Client will send comments back to BCVA Inc. along with the second 1/3 payment based on estimate. Once the second 1/3 payment has been received. BCVA Inc. will continue the project.
  • BCVA Inc. will edit a Final version noting clients' comments in regard to the Rough Cut and provide Final edit to client
  • Client is afforded one revision (consisting of minor edits) of Final version.
  • The Final 1/3 for project is due on receipt of the Final edit.
  • Any additional editing of Rough Cut or Final Version will be billed at hourly rate.
  • Any work not specified in this agreement constitutes “Producing” and may be billed at an hourly Producing Rate.
  • BCVA Inc. may ask client to provide non-video materials such as Pictures, Graphics and Music.
  • Deliverables (DVDs, files for the web, etc.) not included on the estimate will be billed separately
  • Should the Concept, Script, or Scope of work change during the production process BCVA Inc. reserves the right to revise the estimate and / or bill additional charges

* If client changes the Concept, Script, or Scope of work during the production process and is unwilling to pay for additional costs based on the revised estimate and / or additional charges client agrees to pay for all work done up to that point and BCVA Inc. will provide client with work done up to that point.

If Client Does Not Provide Script:

Cancellation: Unless otherwise agreed, there will be a 50% cancellation fee assessed for all bookings canceled with less than 48 Hours Notice and a 100% cancellation fee on all bookings canceled with 24 Hours.

Travel Expenses: Unless otherwise agreed, travel expenses such as Hotel, Airfare, Rental Car, etc. are billable once booked.

Other Travel Expenses: Travel expenses such as mileage, tolls, parking, etc. are incurred as the project progresses and are billed to the client. Mileage is billed at 17% of the current fuel price. Example: Fuel Price Per Gallon: $3.00 x 18.25% = .55 per mile.

Equipment Rental: Additional rented equipment (not owned by BCVA Inc.) is billable once booked.

Indemnity: The client shall indemnify BCVA Inc. against all suits, claims, demands, or other liabilities and expenses including attorney's fees, arising out of or in connection with the publication, processing, use, distribution, contents or exhibition of Clients elements as produced by BCVA Inc. for the Client. This indemnification shall include but not be limited to, liabilities for libel, slander, defamation, invasion of privacy, infringement of copyright, trademark or other proprietary rights. BCVA Inc. at its sole discretion may refuse or suspend service to its Client if it determines that providing such service may expose BCVA Inc. or any of its associates to criminal or civil proceedings of any kind.

BCVA Inc. Equipment Ownership: Client acknowledges BCVA Inc.'s superior title and ownership of equipment and shall not remove or cover the tag / nameplate on equipment showing ownership by BCVA Inc. without prior notice.

Limitation of Liability: Clients materials, media, etc., are received, processed, used and stored by BCVA Inc. solely at the client's risk. BCVA Inc. is not liable for any lost profits or other damages caused by the loss, damage, untimely delivery or destruction of any materials belonging to the client, or to any other person, unless caused by the negligence of BCVA Inc., in which event the liability of BCVA Inc. shall be limited to the replacement of a similar quantity of blank media which is lost, damaged, or destroyed. If materials furnished by BCVA Inc. are found to be defective in manufacture, BCVA Inc. shall replace such materials at no additional cost to the client with blank media, provided Client notifies BCVA Inc. in writing within 30 days after shipment. BCVA Inc. may wish to inspect said damaged materials before replacement. If technical problems are found in work done by BCVA Inc., BCVA Inc. reserves the first opportunity to make corrections. In No Event shall BCVA Inc. be liable for any other costs or consequential damages.

Client Assumed Liability: If materials furnished by the client causes damage to BCVA Inc.'s (or rented) equipment the client agrees to pay repair cost or replace equipment beyond repair.

Publicity: Unless otherwise notified, BCVA Inc. assumes the privilege of using the client's name to publicize and advertise the use of BCVA Inc.'s services.

Freight and Shipping: Client is responsible for all shipping and or delivery costs incurred unless otherwise agreed.

Applicable Law: The terms and conditions of this agreement shall be construed, enforced under and in accordance with the laws of the State of Texas.
